1. Acceptance

By accessing or using D2C.EdgifyOS, you agree to these Terms. If you are using the service on behalf of a business, you represent that you have authority to bind that business. These Terms constitute a binding agreement between you and Edgify Multitrade Pvt Ltd.

2. Service Description

D2C.EdgifyOS is a SaaS platform providing D2C Command Center providing ops intelligence, marketplace listing engine, sales analytics, WhatsApp automation, AI Brain, and related services for Indian D2C businesses. The platform is subject to Meta's WhatsApp Business API policies.

3. Subscription and Payment

Service requires a one-time setup fee and an annual subscription fee. All fees are exclusive of GST (18%). Payments are non-refundable except as required by Indian consumer protection law. Annual subscriptions auto-renew unless cancelled 30 days before renewal date.

4. Acceptable Use

You agree not to: send spam or unsolicited messages; use the service to harass or harm individuals; violate Meta's WhatsApp Business Acceptable Use Policy; use the service for illegal activities under Indian law; attempt to reverse-engineer the platform; resell the service without written permission.

5. WhatsApp Compliance

You are solely responsible for compliance with Meta's WhatsApp Business Terms of Service. You must obtain proper opt-in consent from customers before messaging them. Violations of Meta's policies may result in your WABA being restricted or banned — we are not liable for such actions by Meta.

6. Data and Privacy

You own your data. We process it only to provide the service as described in our Privacy Policy. You are responsible for ensuring your use of customer data complies with the Digital Personal Data Protection Act, 2023 and applicable laws.

7. Limitation of Liability

Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of revenue, lost profits, or data loss.

8. Service Availability

We target 99.5% uptime. Planned maintenance is communicated 24 hours in advance via WhatsApp. Downtime caused by Meta API outages, Supabase outages, or force majeure events is excluded from our uptime commitment.

9. Termination

You may cancel your subscription at any time. We may suspend accounts that violate these Terms. Upon termination, your data is retained for 90 days before deletion. Refunds are not provided for unused subscription periods.

10. Governing Law

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Jabalpur, Madhya Pradesh. Contact us at legal@edgifyos.com before filing any claim.
